Some questions to help you evaluate an offer from any startup.
It’s always a good idea to have a clear understanding of all the details of your package before you sign.

How many total shares outstanding are there, so I know what percentage of the company my offer is?
What is my strike price for the shares? (If company is doing RSUs, there is no strike price.)
What is the last preferred price for the company’s stock?
Can you share how the company’s valuation has changed over the past 2-4 years?
What are some possible growth scenarios of the company, and why?
How much money has the company raised? Bonus: ask about what types of preferences the investors have.
Do you have any idea about future fundraising plans, or any estimates on what type of dilution I might expect in the future?
